01 Legal Notice & Pre-Contractual Information

These Terms of Service ("Terms") govern your use of the Shatale card-on-file agentic-payment service ("Service"), provided to you by:

The Service. Shatale provides an AI-driven card-on-file payment orchestration service. By enrolling a payment card, you authorize Shatale's AI agents to initiate payments on your behalf, strictly within the monetary and frequency limits you pre-authorize in your dashboard.

Price (all taxes included). The price and billing model applicable to your plan are presented to you before you confirm, all taxes included. [à compléter — modèle tarifaire]

Consumer mediation. In accordance with Title I, Book VI of the French Consumer Code, you have free recourse to a consumer mediator in the event of an unresolved dispute. Mediator: [à compléter — médiateur de la consommation].

Acceptance. By completing registration and actively ticking the consent boxes presented to you, you acknowledge that you have received this pre-contractual information and agree to be bound by these Terms.

02 Merchant of Record & Billing

Shatale SASU acts as Merchant of Record — the legal seller of the digital agentic-payment service. Your contract is exclusively with Shatale SASU.

As Merchant of Record, Shatale SASU is responsible for VAT collection and remittance according to your country of residence, customer service, dispute resolution, chargebacks and refunds.

Billing descriptor. Charges appear as SHATALE SASU on your card or bank statement.

03 Payment Mandate & Off-Session Billing

Credential-on-file & Strong Customer Authentication. Setting up your payment mandate requires an initial Strong Customer Authentication (3-D Secure 2) on the card you add. Completing it grants Shatale your consent to securely store your card credential (card-on-file).

Mandate for merchant-initiated transactions. By enrolling a card and configuring your agent, you give Shatale a continuous, explicit mandate to initiate merchant-initiated transactions off-session — of variable amounts and intervals, strictly within the policy limits you configure — without a further authentication step at the moment of each charge.

Revocation. You may revoke this mandate or change your limits at any time from your settings. Revocation stops all future charges but does not affect charges already processed.

04 Right of Withdrawal

As a consumer entering into a distance contract, you generally have a 14-day right of withdrawal (droit de rétractation, art. L221-18 of the French Consumer Code).

Digital-service exception. Under article L221-28 13° of the French Consumer Code, the right of withdrawal does not apply once performance of the digital service has begun with your prior express consent and your acknowledged waiver of that right. When you request immediate activation of the Service, you are asked to expressly confirm, via an unticked checkbox:

05 Refunds & Transaction Disputes

Commercial refunds. Service fees are non-refundable given the immediate digital performance of the Service and your withdrawal waiver, except where mandatory EU consumer law provides otherwise or in the event of a proven technical failure attributable to us.

Charges exceeding your limits. If an agent charge exceeded the limits you configured, contact our support. On confirmed error, we refund the amount promptly to your stored card. Refunds for consumers are handled through support.

Your statutory rights. You retain the right, for 13 months (art. L133-24 of the French Monetary and Financial Code), to report an unauthorized payment to your card issuer. In case of a chargeback, we provide the authentication logs and the parameters of your payment mandate.

06 Using the Service & Your Responsibilities

Your agent acts only within the policy and limits you set. You are responsible for the limits you configure and for keeping your account credentials secure.

You must not use the Service to pay for illegal goods or services, to circumvent applicable law, or in a way that infringes the rights of third parties. You must provide accurate information and keep it up to date.

07 Liability & Governing Law

These Terms are governed by French law. As a consumer, you may bring proceedings before the courts designated by the applicable rules of the French Consumer Code, and you retain the protection of the mandatory provisions of the law of your country of residence.

08 Changes & Contact

We may modify these Terms. We will give you reasonable prior notice of material changes; continued use of the Service after the effective date constitutes acceptance. These Terms are provided in English and French; where required, the French version prevails for consumers resident in France.
