01 Parties and Acceptance
These Terms of Service ("Terms") govern access to and use of the Shatale payment infrastructure platform ("Service") provided by:

("Company", "we", "us", "our")
By accessing or using the Service, you ("Customer", "Publisher", "you") agree to be bound by these Terms. If you are accepting on behalf of a legal entity, you represent that you have authority to bind that entity.
The Service is intended exclusively for businesses and professional users (B2B). Consumers within the meaning of French consumer law (Code de la consommation) are not eligible to use the Service.
02 Description of Service
Shatale provides a payment infrastructure API that enables software publishers and AI agent developers ("Publishers") to:
- Issue virtual payment cards scoped to specific AI agents or workflows
- Define and enforce authorization-time spending policies (merchant category, amount, geography, time)
- Route out-of-policy transactions for human review and approval
- Access a complete immutable audit trail of all authorization decisions
- Receive real-time webhook events on authorization outcomes
2.1 Payment Institution Status
Youngtimers Payments SAS has applied for registration as a Payment Institution under the European Payment Services Directive 2 (PSD2 — Directive 2015/2366/EU) and applicable French transposition law. Until such registration is granted, the Service operates under applicable exemptions and partnerships. We will notify you of any changes to our regulatory status.
03 Eligibility and Account Registration
3.1 Eligibility
To use the Service you must: be a legal entity incorporated in a jurisdiction where the Service is lawfully available; have authority to enter into binding contracts; not be prohibited from using financial services under applicable law; not be located in a jurisdiction subject to comprehensive sanctions (OFAC, EU, UN).
3.2 Registration
You must provide accurate, complete, and current information during registration, including legal entity name, registration number, registered address, and authorized representative details. You must promptly update this information if it changes.
3.3 KYB/AML Verification
We are required to conduct Know Your Business (KYB) and Anti-Money Laundering (AML) verification before activating live access. You agree to provide all documents and information we request for this purpose. We reserve the right to refuse or suspend access if verification cannot be completed to our satisfaction.
04 API Access and Permitted Use
4.1 API License
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Shatale API to build and operate your applications.
4.2 Permitted Use
You may use the Service only to issue payment credentials to AI agents or automated workflows you operate or resell under your own Publisher agreement; enforce spending policy controls as permitted by applicable law; and access transaction data relating to your own Publisher account.
4.3 Prohibited Use
You must not use the Service to facilitate payments for illegal goods or services; enable gambling, adult content, weapons, or sanctioned activities; circumvent AML/KYC requirements; resell or sublicense API access without our written consent; reverse engineer or decompile the Service; or provide false or misleading information to Shatale or end users.
05 Publisher Responsibilities
Publishers are solely responsible for: having appropriate terms with end users of your applications; ensuring compliance with all applicable laws; all transactions initiated by AI agents integrated with your applications; informing end users that transactions are processed through Youngtimers Payments / Shatale infrastructure where required; and complying with applicable data protection laws in respect of personal data of your end users.
06 Fees and Payment
Fees are set out in your Order Form or as published on our pricing page. We reserve the right to change fees with 30 days' written notice. Fees are billed in advance or in arrears as specified in your Order Form. All amounts are in Euros unless otherwise stated. All fees are exclusive of VAT and applicable taxes. Overdue amounts bear interest at the statutory rate for commercial transactions under French law plus 8% per Article L.441-10 of the French Commercial Code.
07 Intellectual Property
Shatale and all associated software, APIs, documentation, logos, and trademarks are and remain the exclusive property of Youngtimers Payments SAS. Nothing in these Terms transfers any intellectual property rights to you. You retain ownership of your own applications and data.
08 Confidentiality
Each party agrees to keep the other party's confidential information confidential and to use it only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
09 Data Protection
Our processing of personal data is governed by our Privacy Policy, which forms part of these Terms. To the extent we process personal data on your behalf as a data processor, we will enter into a Data Processing Agreement (DPA) with you on request.
10 Service Levels and Availability
We aim to maintain high availability of the Service. Specific SLA commitments, if any, are set out in your Order Form. We do not warrant that the Service will be error-free or uninterrupted. We are not liable for network latency or third-party card network outages.
11 Limitation of Liability
12 Indemnification
You agree to indemnify, defend, and hold harmless Youngtimers Payments SAS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with: your use of the Service; your applications or AI agents; your violation of these Terms or applicable law; or any dispute between you and your end users.
13 Term and Termination
Either party may terminate on 30 days' written notice. We may terminate or suspend access immediately if you breach these Terms and fail to remedy within 10 days; you become insolvent; we are required to do so by law or regulation; or continued access poses risk of harm or liability. Upon termination, a 30-day data export window is provided unless termination is for cause.
14 Governing Law and Disputes
These Terms are governed by the laws of France, excluding conflict of law provisions. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Montpellier, France, except that either party may seek injunctive relief in any competent court.
15 Changes to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes. Continued use of the Service after the effective date constitutes acceptance.
16 General
These Terms, together with any Order Form and the Privacy Policy, constitute the entire agreement between the parties. If any provision is unenforceable, the remainder continues in force. Failure to enforce any right is not a waiver. Neither party is liable for failure to perform due to events beyond reasonable control. These Terms are written in English; in case of conflict with any translation, the English version prevails.
